1. Agreement and acceptance
This End User License Agreement (the “Agreement”) governs your access to and use of the Peregrine Tec LLC website at peregrinetec.com, related software, integrations, and services (collectively, the “Services”). By accessing or using the Services, you agree to this Agreement. If you use the Services for an organization, you represent that you have authority to bind that organization.
2. License grant
Subject to this Agreement, Peregrine Tec LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Services for your internal business purposes and only as made available by us.
3. Acceptable use
You will use the Services lawfully and in accordance with applicable third-party terms. You may not interfere with the Services, bypass security controls, introduce malicious code, reverse engineer except where applicable law prohibits that restriction, infringe another person's rights, or use the Services to provide a competing service without our written permission.
4. Ownership and feedback
Peregrine Tec LLC and its licensors retain all right, title, and interest in the Services, including software, documentation, designs, trademarks, and other intellectual property. Except for the limited license above, no rights are granted to you. If you provide feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free right to use it without restriction or compensation.
5. Third-party services
The Services may interoperate with third-party products and platforms, including Intuit QuickBooks Online. Your use of those products is governed by the applicable third party's terms and privacy notices. Peregrine Tec LLC does not control and is not responsible for third-party services, their availability, or their handling of data. Intuit and QuickBooks are third-party marks and are used only to identify the applicable integration.
6. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PEREGRINE TEC LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEREGRINE TEC LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in this Agreement limits liability that cannot lawfully be limited or excluded.
8. Termination
This Agreement remains in effect while you use the Services. We may suspend or terminate access immediately if we reasonably believe you violated this Agreement, created a security risk, or must do so to comply with law. Upon termination, your license ends and you must stop using the affected Services. Sections that by their nature should survive will survive termination.
9. Governing law
Texas law governs this Agreement and any dispute arising from it, without regard to conflict-of-law rules. Where permitted by law, the state or federal courts located in Texas will have exclusive jurisdiction, and you consent to their jurisdiction and venue.
10. Changes to this Agreement
We may update this Agreement from time to time. The updated version will be posted on this page with a revised last-updated date. Your continued use of the Services after an update becomes effective means that you accept the updated Agreement.
